Nemetschek Acquires HCSS for USD 215 Million Revenue – ConTech Consolidation Wave Continues

My Take (Arnulf Christa): ConTech consolidation accelerates: Nemetschek now spans design, project controls, and heavy civil operations—creating an integrated platform that smaller competitors cannot match. Expect margin pressure and faster digitalization mandates across the supply chain.

Nemetschek Group, a established provider of construction software, has signed a definitive agreement to acquire Heavy Construction Systems Specialists (HCSS) from software investor Thoma Bravo. The acquisition integrates HCSS into Nemetschek’s Build & Construct segment, strengthening the Munich-based DAX company’s position in the international infrastructure market.

HCSS, founded in 1986, serves more than 4,000 companies in heavy civil and infrastructure construction. In 2025, HCSS generated approximately USD 215 million in revenue with 550 employees. The acquisition capitalizes on sustained demand driven by government infrastructure investments, including ongoing allocations from the USD 1.2 trillion Infrastructure Investment and Jobs Act.

The transaction reflects broader ConTech consolidation trends, following recent acquisitions including Autodesk’s completion of Rhumbix in March 2026 and Trimble’s acquisition of Document Crunch, an AI-powered contract analysis platform, finalized in April 2026. The deal strengthens Nemetschek’s competitive position in a maturing construction software market and reinforces the company’s strategic focus on digital infrastructure transformation.
